ASSOCIATE PROGRAM ADDENDUM
Korean Skincare Brands Inc. — Associate Program Addendum Effective date: September 2025
1. Scope and Enrollment

This Associate Program Addendum (“Addendum”) supplements the Korean Skincare Brands Inc. Terms & Conditions and governs participation in our associate (multi‑level marketing) program (“Program”).

To enroll, individuals must be at least 18 years old, provide accurate personal and tax information, and accept this Addendum and the main Terms & Conditions.
-
Enrollment is non‑transferable and may be declined or revoked by KSB at our discretion for violations of these terms or misuse of the Program.
2. Independent Associate Status
-
Associates are independent, non‑employee business partners. Nothing in this Addendum creates an employment, agency, or joint‑venture relationship between KSB and an associate.

Associates are not authorized to bind KSB to contracts or representations, and they must not hold themselves out as employees or agents of KSB.
3. Authorized Activities and Sales Channels

Associates are authorized to sell KSB products directly to end customers and to sponsor new associates under the Program, in compliance with this Addendum and all applicable laws.

Sales through unauthorized third‑party marketplaces (e.g., unapproved online reseller platforms) are prohibited unless expressly authorized by KSB.

Associates must use only current KSB marketing materials and product descriptions provided through official channels. Any modifications or personal claims beyond approved materials are prohibited.
4. Compensation and Commission

Commission rates, bonuses, and qualification rules are published in the official Associate Compensation Plan. KSB may modify the Compensation Plan with [30] days’ notice to associates; changes do not affect commissions already earned and paid under prior terms except as required by law.

Commissions are paid on verified, completed retail sales less returns, taxes, shipping, and any applicable fees. KSB reserves the right to adjust or withhold commission payments in cases of suspected fraud, chargebacks, or policy violations.

Associates are responsible for all federal, state, and local taxes, including self‑employment taxes, on income earned through the Program.
5. Inventory and Ordering

Associates may purchase products at the published associate pricing. All orders are subject to availability.

KSB does not require inventory buy‑backs beyond normal return policies; any voluntary inventory purchase must comply with California/Texas law and applicable regulations to avoid unfair inventory loading practices.
6. Marketing Claims, Earnings Representations, and Ethics

Associates must not make false, misleading, or unsubstantiated claims about products, income potential, or business opportunities.

Earnings examples, income claims, or representations about potential profits are prohibited unless accompanied by KSB‑approved, factual disclosures and current average earnings data where required by law.

Associates must avoid health, medical, or therapeutic claims unless expressly approved and supported by KSB documentation. Product claims must reflect product labeling and approved marketing language.
7. Training, Promotional Materials, and Branding

KSB will provide approved marketing assets, training materials, and product information. Associates may use only those materials provided or expressly approved by KSB.

Associates must not create their own packaging, modify product packaging, or rebrand products.

Use of KSB trademarks, logos, or trade dress is permitted only as expressly authorized; misuse may result in termination and legal action.
8. Customer Service, Returns, and Warranties

Associates must direct customers to KSB’s official customer service for product issues, returns, and warranty claims. Associates should not promise refunds or warranties beyond KSB’s stated policies.

Associates must comply with the company’s return policy: customers may return products within 30 days; return shipping and handling are paid by the buyer except where otherwise required by law.
9. Compliance with Laws and Cross‑Border Sales

Associates must comply with all applicable laws, including consumer protection, telemarketing, anti‑spam, and anti‑fraud laws.

For sales into Mexico, associates must comply with Mexican import, labeling, and advertising rules. KSB may require localized documentation and adherence to export/import requirements.

Associates must not promote or sell in regions where KSB has not authorized Program participation.
10. Prohibited Conduct

Prohibited conduct includes, but is not limited to:

Making unapproved health or medical claims;

Misrepresenting the relationship with KSB or product efficacy;
-
Selling through unauthorized channels or third‑party marketplaces without permission;
-
Engaging in deceptive, abusive, or illegal marketing practices;
-
Recruiting via deceptive income claims or high‑pressure tactics;
-
Purchasing large volumes of inventory for the sole purpose of qualifying for commissions (“inventory loading”).

Violation of these prohibitions may result in suspension, forfeiture of commissions, termination of associate status, and legal action.
11. Termination and Suspension
-
KSB may suspend or terminate an associate’s participation for policy violations, fraud, regulatory non‑compliance, or other reasons at its sole discretion.

Upon termination, associates must cease using KSB trademarks and marketing materials and return or destroy confidential materials as directed.

Commissions earned prior to termination may be forfeited if termination results from serious policy breaches or misconduct.
12. Confidentiality and Non‑Solicitation

Associates may receive confidential information (pricing, marketing strategies, training). Associates agree not to disclose or use confidential information for purposes outside the Program.

During participation and for [12] months after termination, associates shall not directly solicit KSB customers or employees for competing business activities.
13. Dispute Resolution and Governing Law
-
This Addendum is governed by the laws of the State of Texas. Associates agree that disputes will be resolved via binding arbitration in El Paso County, Texas, under rules selected by KSB (see main Terms & Conditions for details). Associates waive the right to a jury trial and to participate in class actions to the extent permitted by law.

Arbitration exceptions (if any) and consumer rights required by law in specific jurisdictions will apply.
14. Modifications

KSB may update Program rules, compensation plans, or this Addendum with prior notice (typically [30] days). Continued participation after notice constitutes acceptance of updated terms.
15. Limitation of Liability

To the fullest extent permitted by law, KSB’s liability related to this Program is limited to amounts actually paid to the associate in the [12] months preceding any claim. KSB is not liable for indirect, consequential, or punitive damages.
16. Miscellaneous
-
Entire Agreement: This Addendum, together with the main Terms & Conditions and the Associate Compensation Plan, constitutes the entire agreement between the associate and KSB regarding the Program.

Severability: If any provision is found invalid, the remainder will continue in effect.

Notices: KSB will provide notices via email or the associate portal. Associates should maintain current contact information.

Acknowledgment By enrolling as an associate, you acknowledge that you have read, understood, and agree to this Addendum, the main Terms & Conditions, the Associate Compensation Plan, and any company policies referenced herein.
